Terms and conditions for using Hitech BD educational services

By accessing and using the services provided by Hitech BD Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. Specific educational consultancy services are provided under separate service agreements that detail project scope, deliverables, timelines, and fees. These service agreements supplement and are governed by these Terms of Service. In case of any conflict between these terms and a service agreement, the service agreement shall prevail for that specific engagement.
Payment terms for our educational services are specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
All intellectual property rights in materials, methodologies, and content developed by Hitech BD remain the exclusive property of the Company unless specifically transferred under a written agreement. This includes but is not limited to:
Clients receive a licence to use delivered materials for their internal educational purposes as specified in their service agreement. Clients may not reproduce, distribute, or commercialise our intellectual property without explicit written permission.
We respect the confidential nature of educational information and maintain strict confidentiality standards. Both parties agree to protect confidential information shared during the course of our professional relationship. This obligation continues beyond the termination of any service agreement.
To the fullest extent permitted by law, Hitech BD's liability for any claims arising from our educational consultancy services is limited to the total fees paid by the client for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, or otherwise. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
Our educational consultancy services are provided in accordance with professional standards and best practices in the education sector. While we strive for excellence in all our services, we cannot guarantee specific educational outcomes or institutional performance improvements, as these depend on various factors beyond our control.
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR. By using our services, you consent to such processing and warrant that all data provided to us has been collected and shared lawfully.
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The parties agree to attempt to resolve any disputes through good faith negotiations before pursuing legal action. If litigation becomes necessary, the prevailing party may be entitled to recover reasonable legal fees and costs.
Either party may terminate a service agreement in accordance with the termination provisions specified in that agreement. These Terms of Service remain in effect until terminated by either party with 30 days' written notice.
Upon termination, all rights and obligations cease except for those that by their nature should survive termination, including intellectual property rights, confidentiality obligations, limitation of liability, and governing law provisions.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. In such cases, the affected party shall promptly notify the other party and make reasonable efforts to mitigate the impact.
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after such changes constitutes acceptance of the modified terms. We recommend reviewing these terms periodically for updates.
If any provision of these Terms of Service is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
